Constitution and Rules of the River Spey Anglers’ Association
1: OBJECT
The object of the Association is to provide facilities for and to promote participation of the whole community in the sport of angling. and to protect, improve and maintain fish stocks, fishing and fisheries on the River Spey and its tributaries and in furtherance of this object: - to provide a forum for the views of anglers and members; to represent these views and activities to the organisations or bodies charged directly or indirectly the management of fisheries or habitat in the Spey valley; to liaise with and assist these organisations or bodies in so far as is compatible with these objects; to promote and encourage conservation and to highlight and protect the value of angling to the local community.
2: MEMBERSHIP
Membership of the Association will be open to all anglers and others who have an interest in angling and those whose livelihood may in whole or in part depend on fishing on the River Spey or its tributaries. Membership of the Association shall be open to persons irrespective of ethnicity, nationality, sexual orientation, religion or beliefs; or of age sex or disability except as a necessary consequence of the requirements of Angling as a particular sport.
The Association may refuse membership or expel from membership only for good and sufficient cause, such as conduct or character likely to bring the Association or sport into disrepute. Appeal against such a decision may be made to the Association’s members and decided by a majority vote.
3: NON PROFIT MAKING
The income and property of the Association shall be applied solely towards promoting the Association’s objects as set forth in this constitution and no portion thereof shall be paid or transferred, directly or indirectly, to the Members of the Association.
4: VOTING AT MEETINGS AND MANAGEMENT OF THE ASSOCIATION
The payment of the membership fee as after mentioned shall entitle members of the Association to take part in the meetings of the Association and to vote at such meetings.
5: SUBSCRIPTIONS
The Annual Subscription for members of the Association will be Ten Pounds (£10.00) or such other figure as may from time to time be approved at a General Meeting and at least one such General Meeting will be held annually.
6: MANAGEMENT
The Office Bearers shall consist of a Chairman, Vice-chairman, Secretary and Treasurer to be appointed at the Annual General Meeting.
The Office bearers shall be entitled to reclaim from the Association all expenditure necessarily incurred on behalf of the Association.
The Affairs of the Association shall be managed by a Committee consisting of the foregoing Office Bearers and up to seven ordinary members who shall also be elected at the Annual General Meeting of which Committee six shall form a quorum.
The Committee shall be entitled to appoint Sub-Committees for such purposes as they may consider necessary or desirable.
The Chairman at meetings of Committee shall have a deliberative vote as well as a casting vote.
7: MEETINGS
The Annual General Meeting of the Association shall be held not later than 31st January in each year on a date to be fixed by the Committee and advertised in the Northern Scot at least a week before hand. Meetings, Reports, the Constitution and Minutes of all meetings will be promulgated on a Web site to be set up and operational before the Annual General Meeting.
At the Annual General Meeting in addition to the business falling to be taken up, the accounts of the Association shall be submitted and any other competent business considered.
Other General Meetings shall be called by the Committee when thought necessary or on a requisition addressed by ten members to the Secretary and shall be intimated in the same manner as the Annual General Meeting.
At all meetings the vote of the majority shall prevail, the Chairman having in addition to his deliberate of vote, a casting vote in the case of equality, Fifteen members (which includes Office Bearers and Committee members) will form a quorum at any General Meeting of the Association duly convened.
8: ACTIONS
The Committee of Management shall be entitled in the name of the Association and without further special authority to authorise the secretary to raise such actions in court as they may think necessary in the interests of the Association and also to defend any action which may be raised against the Association and generally to take such other Legal steps or advice that they may consider advisable
9: RULES AND REGULATIONS
The Committee shall have the power to frame such rules and regulations for the conduct of the Association and shall have power to punish any breach of said rules by cancelling the membership of the offender or by taking such other steps as they may so consider advisable in the circumstances. Such rules will not take effect until such time as they have been promulgated on the Web Site.
10: EXPULSION OF MEMBERS
It shall be competent for three fourths of the members present at any general meeting of the Association to expel any member who may have acted contrary to the Rules and Constitution of the Association. Notice in writing shall be given to the Secretary a week before hand of the intention to consider such case and each shall immediately thereafter communicate the intention to the person interested.
11: COMPLAINTS
All complaints against members or employees of the Association must be made in writing to the Secretary and shall be considered and dealt with by the Committee.
12: ACCOUNTS
The Treasurers accounts shall be balanced each year as at Thirtieth September and shall be examined by a professionally qualified person to be appointed at the previous Annual General Meeting.
13: NEW RULES
No part of the Constitution and rules of the Association shall be appealed or altered and no new rule or angling regulation shall be made save by a majority of two thirds of the members present at the Annual General Meeting or at a Special General Meeting called at the request of the Committee or ten members of the Association (as noted in Section 7 above) and notice in writing shall be given to the Secretary fourteen days before such Annual General Meeting or Special General Meeting of the intention to propose any such alteration and intimation thereof shall be given in the notice calling a General Meeting.
14: DISSOLUTION
If upon winding up or dissolution of the Association there remains, after the satisfaction of all the Associations debts and liabilities, any property whatsoever, the same shall be given or transferred to one or more of the following approved sporting or charitable bodies :-
1) A Registered Charitable Organisation(s)
2) Another Club which is a registered CASC.
3) The sports national governing body for use by them for related community sports.
15: WEB SITE
The Association will set up and manage a web site for the purpose of promulgating information about the Associations activities and for allowing members of the Association to communicate their points of view to the Committee and other members.
16: PROTECTION
The Association is fully committed to safeguarding the welfare of all children in its care. It
recognises the responsibility to promote safe practice and to protect children from harm
abuse and exploitation.
Committee and Volunteers will work together to embrace difference and diversity and
respect the rights of children and young people.
